Terms of Use

1. Acceptance and scope

These Terms govern your use of Midnights (“the app”), this website at midnights.co.uk (“the website”), and the waitlist you can join on it — together, “the Service.” By using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service. The app asks you to confirm that you agree before you first use it, and again if we change these Terms in a way that matters.

2. General information only, not professional advice

The Service is provided for general information only. It is not tax, legal, immigration, accounting, or financial advice. Residency rules are complex, change over time, and depend on facts the app cannot fully capture. Outputs are estimates based on the information you enter and on published rules as we understand them — and for some countries the app deliberately shows only a rough day count, not a residency verdict, because a simple rule would be misleading. Always confirm your residency position with a qualified professional before making any decision. You are solely responsible for your tax affairs. You acknowledge that the outputs are estimates and that you will independently verify them.

3. No guarantee of accuracy

We work hard to reflect official rules accurately and cite our sources, but the Service is provided “as is” and “as available”. We do not warrant that day counts, country rules, residency outcomes, alerts, projections, or reports are accurate, complete, or up to date. Rules may have changed since our last update.

Automatic location tracking is not guaranteed to work. It depends on your device, its settings and permissions, its battery and network, and third-party mapping services. It can miss days, record the wrong country, or stop without warning. Check your recorded days, and any figure that matters to you, against your own records.

4. Your account and data

You are responsible for the accuracy of the information you enter and for keeping your account credentials secure.

5. Subscriptions

Some features require a paid subscription (Midnights Pro), billed through the Apple App Store or Google Play under their terms. Where offered, a free trial of 14 days converts to a paid subscription unless cancelled before it ends. Subscriptions renew automatically unless cancelled at least 24 hours before the period ends. Manage or cancel in your App Store / Google Play account settings.

6. Limitation of liability

To the maximum extent permitted by law, we are not liable for any tax, penalty, interest, loss, or damage arising from your use of, or reliance on, the Service. Our total liability to you for any claim is limited to the amount you paid us for the app in the 12 months before the claim. We are not responsible for decisions you make, or don't make, based on the Service, including decisions about travel, where you live, or your tax affairs. Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or fraud, and nothing in them affects your statutory rights as a consumer.

7. Indemnity

If you misuse the Service or break these Terms, and a third party brings a claim against So Sorry Group Ltd as a result, you agree to cover the reasonable losses and costs that So Sorry Group Ltd incurs because of it.

8. The waitlist

Joining the waitlist on the website means you consent to us storing your email address so we can notify you when the app launches or Pro opens up. We send you one email straight away to confirm you are on the list, and nothing after that until there is something to announce. We will not use it for anything else. You can ask us to remove you at any time by emailing support@midnights.co.uk.

9. Acceptable use

Do not misuse the Service, attempt to break its security, or use it unlawfully.

10. Changes

We may update these Terms. If a change matters, the app will ask you to agree to the new Terms before you carry on using it; for other changes, continued use means you accept them. The date at the top shows when they last changed.

11. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
